Welcome to GridVert. These Terms & Conditions ("Terms") govern your access to and use of the GridVert platform, websites, browser extension and related services (the "Service"), operated by GridVert ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

1. What GridVert does

GridVert is a marketplace that connects advertisers with streamers. Streamers offer block regions of their stream overlay; advertisers build ads sized to a block footprint and place them on streamers' overlays for a period of time. We facilitate discovery, ad approval, scheduling, display and payment — we are not a party to the underlying advertising arrangement between an advertiser and a streamer.

2. Accounts & eligibility

• You must be at least 18 years old and able to form a binding contract.
• Accounts are created via third-party sign-in (e.g. Twitch, Kick). You're responsible for activity under your account and for keeping access secure.
• You agree to provide accurate information and keep it up to date.

3. Advertisers

• You are solely responsible for the creatives you upload and the ads you place.
• You represent that you own or are licensed to use all content in your ads, and you grant GridVert and the relevant streamer a non-exclusive licence to display that content for the duration of a placement.
• Ads may be subject to approval (by GridVert and/or a streamer's brand settings). We may reject or remove any ad at our discretion.

4. Streamers

• You control your templates, available blocks and pricing, and which ads run on your overlay.
• Payouts are processed via Stripe Connect; you're responsible for accurate payout details and for any taxes on your earnings.
• You're responsible for complying with the terms of the platforms you stream on.

5. Payments & fees

• Advertisers pay for placements by card (Stripe) or supported cryptocurrencies (e.g. USDC/USDT on supported networks).
• GridVert charges a platform fee on transactions, disclosed at checkout.
• Card payments are handled by Stripe; we do not store full card details.
• Cryptocurrency payments are final and irreversible — on-chain transactions cannot be reversed once confirmed.
• Except where required by law, payments are non-refundable once a placement is live.

6. Acceptable use

You must not use the Service to upload or place content that is illegal, infringing, deceptive, or malicious; that is sexually explicit, hateful, or promotes violence; or that violates any third party's rights. You must not attempt to disrupt, reverse engineer, or gain unauthorised access to the Service.

7. Intellectual property

GridVert and its underlying software, design and branding are owned by us and our licensors. You retain ownership of the content you upload, subject to the licences you grant in these Terms.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind. We do not guarantee uninterrupted availability, specific advertising outcomes, or the conduct of any advertiser or streamer.

9. Limitation of liability

To the maximum extent permitted by law, GridVert is not liable for indirect, incidental or consequential damages, and our total liability arising from the Service is limited to the fees you paid us in the three months before the event giving rise to the claim. Nothing in these Terms limits rights that cannot be excluded under applicable law, including any applicable consumer protection laws.

10. Suspension & termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to others or to GridVert. You may stop using the Service at any time.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes we'll take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which GridVert operates, and you submit to the non-exclusive jurisdiction of its courts.
